Terms of Use
Draft for founder and legal review
Effective date: [INSERT EFFECTIVE DATE]
Last updated: [INSERT LAST UPDATED DATE]
These Terms of Use (“Terms”) govern your access to and use of the public Nemali website at https://nemali.io, the waitlist, and related launch communications operated by [INSERT LEGAL ENTITY OR OPERATOR NAME], operating as Nemali (“Nemali,” “we,” “us,” or “our”).
These Terms currently apply only to the public launch website and waitlist. They do not govern future authenticated product accounts, creative-project storage, artificial-intelligence generation, subscriptions, paid services, collaboration, or production tools. Separate or updated product terms may apply before those services become available.
By using the website or joining the waitlist, you agree to these Terms and acknowledge the Privacy Policy. If you do not agree, do not use the website or submit the waitlist form.
1. Eligibility
You must be at least [INSERT AGE — RECOMMENDED: 18] years old and legally capable of agreeing to these Terms.
By joining the waitlist, you represent that:
- the information you provide is yours or you are authorized to provide it;
- the information is reasonably accurate;
- your use of the website complies with applicable law.
Legal review required: Confirm the final age threshold and treatment of users who are not legally competent to contract.
2. The Website and Waitlist
Nemali is developing a creative workspace for video and narrative development.
The launch website currently provides information about Nemali and allows interested people to join a waitlist.
Joining the waitlist:
- records your interest in Nemali;
- may allow us to send launch and early-access updates;
- does not create a product account;
- does not create a paid subscription;
- does not guarantee early access;
- does not guarantee an invitation;
- does not guarantee a launch date, feature set, price, or availability;
- does not create a partnership, employment, agency, or investment relationship.
We may prioritize, pause, close, restructure, or discontinue the waitlist at any time.
3. Communications
When you join the waitlist, you agree to receive communications reasonably related to:
- confirmation of your waitlist submission;
- Nemali’s launch;
- early-access opportunities;
- material changes affecting your waitlist participation.
You can stop future launch and early-access updates by replying to a Nemali email or contacting [INSERT MONITORED CONTACT EMAIL].
Service or administrative messages may still be sent where reasonably necessary to complete an active request, respond to you, or meet legal obligations.
4. Your Submissions
You are responsible for information you submit through the waitlist or send to us.
Do not submit:
- confidential scripts, treatments, project files, or trade secrets;
- material that infringes another person’s rights;
- sensitive personal information;
- unlawful, fraudulent, misleading, threatening, abusive, or malicious content;
- malware, code, or instructions intended to interfere with the website;
- information about another person without authority.
The optional waitlist note is intended only for a brief description of what you hope to create or what you are looking for from Nemali.
You retain ownership of information you submit. You grant Nemali a limited right to process it only as reasonably necessary to operate the waitlist, communicate with you, understand demand, improve the launch experience, protect the service, and comply with law, as described in the Privacy Policy.
This clause does not grant Nemali ownership of your creative ideas or projects.
5. Acceptable Use
You must not:
- use bots, scripts, or automated systems to submit the waitlist repeatedly;
- bypass rate limits, origin checks, or abuse protections;
- attempt to identify whether another email address is on the waitlist;
- probe, scan, or test vulnerabilities without written authorization;
- interfere with the website, API, database, email systems, or infrastructure;
- impersonate another person or organization;
- submit false contact information for abusive or deceptive purposes;
- use the website in violation of applicable law;
- copy, scrape, or extract substantial website content for unauthorized commercial use;
- introduce malware or harmful code.
We may block submissions, suppress email addresses, restrict access, or take other protective steps when we reasonably believe the website is being misused.
6. Intellectual Property
The website and its content, including the Nemali name, logos, visual identity, interface designs, graphics, text, and software, are owned by Nemali or used with permission and are protected by applicable intellectual-property laws.
These Terms give you a limited, revocable, non-exclusive, non-transferable right to access and use the public website for lawful personal or business evaluation.
They do not grant you a licence to:
- use Nemali’s branding as your own;
- copy or distribute substantial parts of the website;
- reverse engineer non-public systems;
- create misleading associations with Nemali;
- use website materials in a way that infringes our rights.
Feedback or suggestions you voluntarily provide may be used by Nemali without an obligation to compensate you, provided we do not claim ownership of your underlying creative project or confidential materials.
7. Third-Party Services and Links
The website relies on third-party infrastructure and service providers and may link to third-party websites.
Third-party services may have their own terms and privacy policies. Nemali is not responsible for third-party websites, content, availability, or practices outside our reasonable control.
A link does not necessarily imply endorsement.
8. Availability and Changes
The website and waitlist are provided on an evolving basis.
We may:
- change website content or functionality;
- correct errors;
- suspend submissions;
- restrict access;
- change service providers;
- modify or discontinue the waitlist;
- update launch plans.
We do not promise that the website will always be available, uninterrupted, secure, or error-free.
Where practical, the homepage may remain available even when waitlist submissions or optional analytics are temporarily disabled.
9. No Professional Advice
Information on the website is general product and launch information.
It is not legal, financial, investment, business, production, or other professional advice.
You are responsible for evaluating whether Nemali may be suitable for your needs.
10. Disclaimers
To the maximum extent permitted by applicable law, the website and waitlist are provided on an “as is” and “as available” basis.
Nemali does not make warranties about:
- uninterrupted or error-free operation;
- a particular launch date;
- admission to early access;
- future functionality;
- compatibility with your projects or workflow;
- commercial outcomes;
- preservation of optional waitlist notes beyond the retention described in the Privacy Policy.
Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Nemali and its operator, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the public website or waitlist, including lost profits, lost opportunities, lost data, or business interruption.
Nemali’s total aggregate liability arising from the launch website or waitlist will not exceed [INSERT LIABILITY CAP — LEGAL REVIEW REQUIRED].
This section does not limit liability that cannot lawfully be limited, including liability arising from fraud, wilful misconduct, or other non-excludable matters.
Legal review required: Select a lawful and proportionate liability cap for a free pre-launch website.
12. Indemnity
[OPTIONAL — INCLUDE ONLY AFTER LEGAL REVIEW]
You agree to indemnify Nemali against third-party claims, losses, and reasonable costs arising from your unlawful misuse of the website, your violation of these Terms, or material you submit that infringes another person’s rights.
Legal review required: Determine whether an indemnity clause is appropriate and enforceable for the intended users and governing law.
13. Suspension and Removal
We may restrict access to the website or remove, suppress, or block a waitlist entry when reasonably necessary to:
- prevent abuse or fraud;
- respond to a bounce or spam complaint;
- respect an unsubscribe request;
- comply with law;
- protect Nemali or others;
- enforce these Terms.
Removal from the waitlist does not entitle you to compensation or future access.
14. Privacy
Our Privacy Policy explains how we collect and process personal information.
The Privacy Policy forms part of the legal framework governing your use of the website, but where required by law it may operate as a separate notice rather than a contractual waiver of rights.
15. Governing Law and Disputes
These Terms are governed by the laws of [INSERT GOVERNING JURISDICTION — RECOMMENDED FOR REVIEW: INDIA], without regard to conflict-of-law principles.
The courts located in [INSERT CITY AND STATE] will have exclusive jurisdiction, except where applicable consumer law gives you the right to bring a claim elsewhere.
Before starting formal proceedings, the parties should attempt in good faith to resolve the dispute by contacting:
[INSERT LEGAL OR SUPPORT EMAIL]
Legal review required: Confirm the legal entity, governing law, court jurisdiction, consumer-law treatment, and whether arbitration is desirable. Do not add arbitration automatically.
16. Changes to These Terms
We may update these Terms as the website, waitlist, law, or Nemali’s plans evolve.
We will update the “Last updated” date when changes are made. Material changes may be communicated through the website or by email where appropriate.
Your continued use of the website after updated Terms take effect means you accept the updated Terms, to the extent permitted by applicable law.
Updated or separate product terms must be introduced before authenticated accounts, paid services, creative-content storage, or AI-generation functionality becomes publicly available.
17. General Terms
If a provision of these Terms is held invalid or unenforceable, the remaining provisions remain in effect.
Our failure to enforce a provision is not a waiver of that provision.
You may not transfer your rights under these Terms without our written consent. We may transfer these Terms as part of a reorganization, financing, acquisition, or sale of the relevant business or assets.
These Terms and the Privacy Policy constitute the current agreement concerning the public website and waitlist, subject to any non-waivable rights under applicable law.
